1.   Introduction

1.1
Our lawyers tell Us that We need this bit as it sets out the rules which are applicable to Your use of the Website. Even though We know this looks a bit boring, please take the time to read these rules carefully as using the Website means that You agree to be bound by these rules and any other rules or documents that govern Our relationship with You. If You don't like anything You see then please don't use the Website – We have so many users it would be impossible to agree different rules for everyone.

2.   Defined terms

2.1
Where words start in the middle of a sentence in capital letters, this doesn't mean that Our grammar is rubbish, it means that those words having the meanings set out below:
(a)
"Content" means any material which You post on the Website including any text, photographs and/or video clips.
(b)
"AZUDOO Membership Rules" means the rules governing membership of the AZUDOO Industrial and Provident Society.
(c)
"Our", "Us", "We" means us, AZUDOO Limited of Colechurch House, 1 London Bridge Road, SE1 2SX. VAT No: 923 5133 46 FSA Registered number: 30368 R.
(d)
"Project" means a project created or worked on or supported by Us, any of the users of the Website or any of the members of AZUDOO.
(e)
"Website" means any websites which We own and operate from time to time including http://www.azudoo.com
(f)
"You", "Your", "Yourself" means well, you obviously.

3.   Your use of the website

3.1
You must be at least 16 to access and use the Website.
3.2
Use of the Website by You means that You accept these rules. It also means that You accept the contents of the Project policy and agree to be bound by its content. We reserve the right to suspend or terminate Your use of the Website on notice at anytime and for any reason (including if You breach any of these rules and/or any other rules or documents that govern Our relationship with You). We won't have any liability to You for any loss or damage which You might suffer because We have suspended or terminated Your use of the Website.
3.3
We reserve the right to change these rules at any time and without notice to You – if We make any changes then for a while after doing so, they will be highlighted here so You can see what they are. You should check these rules for changes regularly as if You carry on using the Website after We have made any changes then this means You accept those changes.
3.4
By using or visiting the Website and/or joining AZUDOO You agree that English law will govern these rules and Your entire relationship with Us.
3.5
From time to time we will make arrangements with other websites and businesses so that their technologies and facilities are available to you to enhance the functionality and user-experience of our Website. An example of this would be an arrangement with another site by which that site hosts videos that can be viewed from our Website. When your use of our Website also uses such third party technologies and facilities, you must also comply with any such third party's user terms and conditions. We may also notify you of the existence of such user terms and conditions and direct you to any relevant links or information so that you can find out more about these.

4.   Your account

4.1
To post Content on the Website, You will need to create a user account. You must make sure that all information You provide to Us when setting up Your account is true, complete and not misleading in any way. You must also tell Us as soon as possible if any of Your details change by updating Your account details.
4.2
We will try to limit the amount of personal information which We ask You to provide to Us to that which is reasonably necessary to enable Us to operate the Website, administer Your user account and membership and as may be required to enable Us to comply with Our legal obligations. Occasionally, this may mean having to ask You for information in addition to that which You provided when You originally set up Your user account. If We do request any such information from You then You agree to provide that to Us as soon as reasonably possible and that the information You provide will be true, complete and not misleading in any way. 4.3
You are solely responsible for the security and use of Your account – if You let someone else use Your account (either deliberately or simply because You just haven't been careful) and they do something wrong then that is Your responsibility – We will treat any breach of these rules and/or any other document that governs Our relationship with You by any person accessing and using the Website through Your account as if it were a breach of these rules and/or any other relevant document by You. It sounds obvious but make sure You don't tell anyone else Your password.

5.   Content we do want

5.1
You are free to post whatever Content You want on the Website provided that it complies with these Terms of use and any other relevant document that governs Our relationship with You including the Project policy and Content policy and, if You are a paid up member of AZUDOO, the AZUDOO Membership Rules. In particular, You must make sure that You own all of the rights (including the copyright) in any Content which You post on the Website or alternatively, if any third party owns any rights in the Content which You post, that You have their written consent to post that Content on the Website.
5.2
As it says in paragraph 6.2, We have the final say as to whether or not any Content is allowed on the Website.
5.3
By posting Content on the Website, You are granting Us (together with any other entity who may assume responsibility for the operation of the Website in the future) a worldwide, non-exclusive and royalty free licence to use, host on the Website, reproduce, display and distribute that Content for the purposes of making the Website available to other users and for promoting the Website generally. This licence will end once You decide to remove the Content in question provided that You give Us a reasonable amount of time to cease using Your Content first and provided also that if the Content is used as part of a Project, Your licence to Us to use the Content shall continue for the purposes only of use in that Project, for the life of that Project.
5.4
Other than the licence which You grant to Us in paragraph 5.3, We don't want any other rights in any of Your Content and You can keep all of those other rights for Yourself, unless You transfer these or any other rights as part of specific arrangements that You may choose to make in relation to a Project or otherwise with Us.
5.5
A major part of the ethos of the Website is co-creating between registered users and members for Projects and otherwise. Please remember that You must ensure that a clear understanding on ownership of Content exists between You and Your co-creators when more Content or a Project is co-created. You can find out more about what intellectual property rights might exist in Your Content in the United Kingdom and how You can protect that content there by visiting the website of the UK Intellectual Property Office (http://www.ipo.gov.uk/home.htm).

6.   Content we don't want

6.1
AZUDOO isn't a free for all and there is certain Content which We don't want You to post on the Website as there is enough of it out there on the web already. Such Content includes anything which:
(a)
is illegal, pornographic, offensive, defamatory or libellous;
(b)
infringes the rights of any third party;
(c)
fails to comply with any applicable laws or legislation;
(d)
is untrue or misleading;
(e)
encourages others to do something which is illegal, dangerous or harmful;
(f)
contains any virus, Trojan horse, robot, spider, worm or other malware or any computer programme designed to bombard other users with spam;
(g)
is an advert for any business or any other commercial venture unless You are a paid up member of AZUDOO promoting a Project;
(h)
which constitutes any solicitation for funds; advertising or solicitation for goods or services (save to the extent that the material in question relates to a Project or proposed Project under discussion on the Website); and/or
(i)
any content calculated to harm Us in any way or to harm the community in any way.
6.2
We have the final say on whether or not Your Content is allowed on the Website and We can remove Content at any time and for any reason. We won't have any liability to You for any loss or damage which You might suffer because We have removed Content from the Website which has been posted by You.

7.   Ideas

7.1
You are encouraged to suggest and post ideas on the Website in accordance with the Project policy, which may one day become approved projects supported and funded by Us. We can't guarantee which ideas will get taken forward to the proposed project or approved project stage as this will depend on the votes cast by the members of AZUDOO, as only paid up members can vote. Of course, You must take care to ensure that whatever You post complies with these rules (including, without limitation, Paragraph 6.1) and the Project policy otherwise, You will be moderated out.
7.2
Please note that any idea You suggest must comply with all of the membership rules for the AZUDOO Industrial & Provident Society and the Project policy even if You yourself are not a member – You can access a copy of the Rules by clicking here.
7.3
We want You to trust the co-creative process encouraged by the Website in developing ideas into proposed projects and then through the process until they become approved projects. As the Website is open to all You must take care in deciding what information about Your idea You post on the Website as it can be seen by all. If You own any proprietary rights in Your idea You should inform the other users of this when You post Your idea and proposed project but not disclose more than necessary at that stage leaving full disclosure to the due diligence stage after Your proposed project has been voted money and appropriate legal arrangements have been entered into. You should be aware that disclosing certain ideas before appropriate intellectual property protections have been applied for by or granted to You may result in those intellectual property protections no longer being available. You can find out more about what intellectual property rights might exist in Your ideas in the United Kingdom and how You can protect Your ideas there by visiting the website of the UK Intellectual Property Office (http://www.ipo.gov.uk/home.htm).

8.   Complaints

8.1
If You have a complaint about any Content which is posted on the Website You can tell Us by clicking here and filling out a Complaint Form. Once We have received Your complaint, let Us have a bit of time to investigate it. Usually, We will temporarily suspend the Content You have complained about whilst We carry out Our investigation.
8.2
If We agree with Your complaint then We will remove the Content in question from the Website. Please note that this is all We can do and You acknowledge that at the end of the day, We aren't responsible for any Content posted by Our users – if You are that upset that You want to sue someone then You will have to sue the user who posted the Content directly at Your own expense. Please note that there are only limited circumstances in which We can give You the contact details of other users (other than any contact details which they have chosen to publicly post on the Website).
8.3
Please take a bit of time before making a complaint to consider whether or not the Content in question justifies it – we take all complaints seriously but just as We don't want inappropriate Content posted on the Website We don't want to spend all of Our time dealing with malicious or spurious complaints. If You keep making complaints which turn out to be unjustified then We may take the decision to ban you from the Website as its obviously not for You.

9.   Disclaimers

9.1
We're not perfect and We don't claim to be so the following disclaimers apply to Your use of the Website:
(a)
We don't guarantee that the Website will always be available. We may temporarily suspend it (usually to carry out maintenance work) or permanently close it down at any time without notice if We feel like it;
(b)
whilst We will try and make sure that there aren't any viruses or the like within the Website, We can't guarantee this nor can We guarantee that someone won't try to access Your computer via the Website. Make sure that any hardware and software You use to access the internet is protected by up to date firewalls and virus protection – You'll only regret it if You don't;
(c)
We don't routinely vet or verify Content which is posted by users. Accordingly, We can't guarantee that any material You view on the Website is completely true, accurate or error free. Likewise, if You follow any instructions or suggestions contained in any Content and something goes wrong, that's not Our fault. If You notice a mistake in any materials for which We are responsible, please let Us know and We will do Our best to correct it as soon as We can;
(d)
the views expressed in Content posted by other users are the personal views of those users and don't necessarily represent the views of AZUDOO or its members;
(e)
We are based in the United Kingdom and accordingly, We cannot guarantee that accessing the Website from outside of the UK is legal. Whilst We hope that people from all over the world will be able to enjoy AZUDOO its up to You to make sure that Your use of the Website in any country other than the UK is legal;
(f)
We have built into the design and operation of the Website a number of different security features to try and prevent unauthorised people from accessing Content which is posted by You (including any personal information which You decide to post). However, security features such as these can never be 100% foolproof or guaranteed and because of that, We will not be liable to You if an unauthorised person works out how to circumvent these features and manages to access data which You don’t want them to see;
(g)
We will not be liable to You for any failure or delay in doing something where that failure or delay is caused by circumstances beyond Our reasonable control. Such circumstances include, but are not limited to, Our offices burning down or flooding, bad weather, terrorist attacks or acts of God; and
(h)
the Website contains links to other websites which aren't owned or operated by Us and We are not responsible for them. Please use Your common sense when accessing any other websites particularly if they ask You to give out Your personal details – remember, if it sounds too good to be true then it probably is.

10. Our rights

10.1
You acknowledge and agree with Us that other than in respect of Content posted on the Website by users (where paragraphs 5.3 and 5.4 apply) all copyright, trade marks and any other rights in the Website (including in the AZUDOO name, the design of the Website, its text and graphics and all software and source code underlying the Website) belong to Us or Our third party licensors and shall at all times remain vested in Us or Our third party licensors (as appropriate).
10.2
Just like We cannot infringe Your rights You are allowed to print and copy parts of the Website to the extent necessary to enable You to access and use the Website for the purposes intended by Us. If You want to use any materials which belong to Us for any other purpose then You must obtain Our prior written consent. If You don't, then We reserve the right to come after You.
10.3
Generally, We are happy for You to post links to the Website on other websites provided that the other website doesn’t contain content which We wouldn’t allow on Our Website –if any of the content of the other website would breach paragraph 6.1 if it was posted on the Website then We don’t want Our name associated with it.
10.4
From time to time, We may specify rules concerning what form links to the Website must take and You agree to comply with all such rules. We have the final say as to whether or not You are allowed to post a link on a particular website and if We ask You to remove a link which You have posted for whatever reason then You agree to do so within 24 hours of Us asking.

11. How you can become liable to us

11.1
If We end up incurring any loss, damage, costs, expenses or other liability to any third party because of any Content which You have posted on the Website or because of Your use of the Website generally (regardless of whether or not that Content or use breaks any of these rules) then You agree to repay to Us all such loss, damage, costs, expenses and other liabilities incurred by Us on demand. In particular, but without limitation, this includes any claim which We may receive from a third party that any Content posted by You infringes any of their rights (regardless of whether or not that claim turns out to be justified). In legal speak, this is called an indemnity and You can either pay a lawyer lots of money to tell You what this means in more detail or You could look it up on Wikipedia.

12. Selling AZUDOO

12.1
Because We don't currently make any charge to use the Website (although You will have to pay a membership fee if You decide to become a member of AZUDOO which You can find out more about by reading paragraph 13) its only fair that We shouldn't end up becoming liable to You for thousands of pounds just because We have made a mistake (particularly because at the end of the day We're only human). Accordingly, this is how We limit Our liability to You:
(a)
We're completely on the hook for anything which We can't legally limit or exclude Our liability for. In England, this includes Our liability for death or personal injury caused by Our negligence or for any fraudulent misrepresentation. Hands up, it’s a fair cop guv;
(b)
other than that, in no circumstances will We be liable to You for any direct or indirect loss or damage You might suffer because of Your use of the Website, because of any Content posted on the Website and/or because of any breach by Us of any of Our obligations under these rules. Such loss or damage includes any:
(i)
loss of business, use, profit, anticipated profits, contracts, revenue, anticipated revenue, goodwill, savings, anticipated savings, data, and/or use of data;
(ii)
damage to or loss of any hardware and software used by You to access and use the Website;
(iii)
damage to Your reputation; and/or
(iv)
any consequential or special loss or damage
 
These exclusions apply even if You told Us that You might incur such loss or damage or thinking about it, We ought to have known that You might.

13. Membership of AZUDOO

13.1
AZUDOO is an Industrial and Provident Society established under the Industrial & Provident Societies Act 1965 (as may be amended or replaced from time to time). If You want, You can become a member of AZUDOO meaning that You are a part owner of AZUDOO and can have a say in how things are run. You can find out more about this by clicking here.
13.2
If You are a member of AZUDOO, You are personally liable in Your capacity as a private individual for Your compliance with these rules and any other rules or document that governs Our relationship with You and not in Your capacity as a part owner of AZUDOO. We shall be entitled to come after You personally for a breach of these rules and/or any other rules or document that governs Our relationship with You even if You are also a member of AZUDOO so please respect all of the rules and documents that are published on the Website and that govern Our relationship with You.

14. Privacy

14.1
It sounds obvious but any Content which You post on the Website will be publicly available to potentially the whole of the world so don't post anything which You want to keep a secret or which You wouldn't want Your mother to see. We do provide a facility for You to limit access to Content to particular people although, in accordance with paragraph 9.1(f), We can’t guarantee that that facility will always be working or that someone won’t work out how to get round any restrictions You impose.
14.2

15. Other stuff

15.1
These rules together with Our Privacy policy and our Project policy are the only documents which govern Your use of the Website unless You are a paid up member of AZUDOO in which case, the AZUDOO Membership Rules and any subsequent byelaws and policies also apply to You. Sorry, but You can't rely on or enforce anything which isn't set out in these rules, the Privacy policy, or the Project policy unless We have explicitly agreed to it in writing.
15.2
Just because You stop using the Website or We suspend or terminate Your use of the Website doesn't mean that these rules, the Privacy policy and Project policy stop applying. They will always apply in respect of Your use of the Website and in respect of any Content which You have posted even if You subsequently decide to remove or change that Content.
15.3
If You do break any of these rules and/or any other rules or documents that govern Our relationship with You and We don't immediately do anything about that then that doesn't mean We're letting You off the hook – We're busy people and it might take Us some time to get round to dealing with You. Likewise, if We do let You off the hook on one occasion, it doesn't mean that We will again in the future.
15.4
If We need to serve a formal notice on You for any reason then We will use one of the addresses or numbers which You provided to Us as part of the registration process (usually, We will use Your email address unless there is some legal reason why We have to use another means of communication). Provided that We type the address correctly (and in the case of notices sent by post, pay for first class registered delivery or delivery by international courier if sent overseas), any such notice will be deemed to have been received by You two days after We send it (or five days after We send it in the case of postal notices sent overseas). For this reason, it is very important that You make sure that the contact details You have supplied to Us are kept up to date.
15.5
If You need to serve any formal notice on Us for any reason then please use the following address: notices@azudoo.com. Provided that You have typed the address correctly (and in the case of notices sent by post, You have paid for first class registered delivery or delivery by international courier if sent from overseas) notices will be deemed to have been received by Us two days after sending (or five days after sending in the case of postal notices sent from overseas).
15.6
From time to time, We may need to assign or transfer some or all of Our rights and obligations under these rules to a third party and You agree that We can do that without Your consent. If You want to assign or transfer Your rights and obligations under these rules then You must get Our written consent before doing so.
15.7
If it turns out for any reason that any part of these rules and/or any other rules or document that governs Our relationship with You can't be enforced or is illegal or unlawful then the part of the rules or document in question shall be deemed deleted and the rest of the rules or document will continue in full force and effect.
15.8
Whilst We're nice people and We'd like to be friends, Your use of the Website doesn't create any sort of legal relationship between the two of us other than one of independent parties to a contract. Only properly authorised officers (as opposed to ordinary members) of AZUDOO can speak on its behalf, enter into binding arrangements on its behalf or otherwise incur liability on its behalf.
15.9
Only You can enforce Your rights against Us under these rules. This applies even if there are third parties out there who stand to make a benefit out of Your use of the Website – if they're not You then they can't see.

16. Arguments

16.1
Hopefully, we won't get into any arguments regarding these rules or any of the other rules, byelaws or policies that govern Our relationship with You as we're all nice people. However, if we do, in the first instance we will try and resolve them by talking about things like grown ups. If after that, either of us wants to give Our lawyers even more money by going to court then the English courts will have exclusive jurisdiction to hear any dispute under these rules, the AZUDOO Membership Rules and any other document that governs Our relationship with You and English law will apply.
16.2
By using or visiting the Website and/or joining AZUDOO, You have agreed to not commence any argument or potential court action in any jurisdiction other than that of England & Wales.
